“Customer” refers to the individual or entity using the Service.

“Account” means the online account created by or for the Customer to access the Service.

“Content” includes all data, text, files, and other materials submitted by you or generated through use of the Service.

“Subscription” refers to your paid access to the Service, subject to the applicable plan and payment terms.

You must be at least 18 years old and capable of entering into a binding contract. If you are using the Service on behalf of an entity, you represent that you are authorized to accept these Terms on that entity’s behalf.

You must create an Account to access certain features. You are responsible for maintaining the confidentiality of your credentials and for all activities under your Account.

We grant you a non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes in accordance with these Terms. You may not:

• Copy, modify, or create derivative works of the Service;

• Reverse engineer, decompile, or attempt to discover the source code;

• Use the Service to violate laws or infringe rights.

Access to the Service is offered via subscription plans. Fees, billing cycles, and renewal terms are outlined during sign-up or in your account dashboard. All payments are non-refundable unless otherwise stated.

5.1 Automatic Renewal
Unless you cancel prior to the end of the subscription period, your subscription will automatically renew.

We may offer free trials or access to beta features. We reserve the right to modify or terminate these at any time. Beta and Public Preview features are provided 'as is' without warranties.

6.1 Public Preview Access
We may make certain features or versions of the Service available to you as part of a limited-time Public Preview (“Public Preview”). The Public Preview usually is provided free of charge for evaluation purposes only and is offered on an as-is and as-available basis without any warranties or service commitments.

The Public Preview is subject to the following terms:

• The Public Preview is time-limited and will expire on a date specified by SoftwareValue.ai or upon notice to you.

• At the end of the Public Preview period, continued access to the Service will require you to enroll in a paid subscription plan.

• We may suspend, modify, or terminate the Public Preview at any time without notice and without liability.

• Features, functionality, or data availability during the Public Preview may differ from those in the commercial release.

• You acknowledge that any data entered or generated during the Public Preview may be deleted or inaccessible unless you convert to a paid subscription prior to the end of the preview.

Participation in the Public Preview does not create any obligation for SoftwareValue.ai to continue to offer the Service or any related features in a commercial capacity.
 

You agree not to:

• Upload viruses or malicious code;

• Use the Service for unlawful purposes;

• Interfere with or disrupt the Service or servers.

You agree not to use any AI-powered features (including but not limited to chatbots, content generation tools, or automated systems) in any manner that:

• Promotes, incites, or engages in hate speech, harassment, or bullying based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or other protected characteristics.

• Contains or encourages threats of violence, graphic violence, or terrorism.

• Involves or implies child sexual abuse material (CSAM) or any form of sexual content involving minors.

• Promotes or discusses methods of self-harm, suicide, or eating disorders.

• Includes sexually explicit, pornographic, or obscene material.

• Attempts to generate spam, scams, fraudulent content, or malicious code.

• Seeks to bypass, disable, or interfere with any content filtering or moderation system.
   

Violation of this policy may result in immediate suspension or termination of your access to our services and may be reported to appropriate authorities if required by law.

8.1 AI Model Ownership and Output Licensing

To the extent permissible by law, SoftwareValue.ai does not claim ownership of AI-generated outputs created through your use of the Service. However, where such outputs incorporate proprietary SoftwareValue.ai knowledge models, you are granted a non-exclusive, internal-use license to use such outputs.

All intellectual property rights in the Service, including software, content, and trademarks, are owned by SoftwareValue.ai or our licensors. You retain rights to the data you upload, but grant us a license to use it solely to provide and improve the Service.

Please refer to our Privacy Policy for information on how we collect, use, and protect your data.

10.1 Aggregate Data and Service Improvement

You agree that SoftwareValue.ai may collect and analyze data and outputs generated through your use of the Service in an anonymized and aggregated form. This aggregated data may be used solely to:

​

• Improve and optimize the performance, functionality, and quality of the Service;

• Develop new features, insights, and recommendations; and

• Provide anonymized content examples, benchmarks, and strategic guidance to other users of the Service.

We will not use or disclose any data in a way that could reasonably identify you or your organization without your explicit consent. All such usage will comply with our Privacy Policy and applicable data protection laws.

The Service may integrate with or rely on third-party applications, platforms, and APIs, including but not limited to artificial intelligence providers such as OpenAI, Anthropic (Claude), DeepSeek (Fireworks.ai or any other provide), and others. By using the Service, you acknowledge and agree that:

• Data you input (including text, prompts, or uploaded content) may be processed by these third-party providers solely for the purpose of delivering Service features.

• We make reasonable efforts to ensure these providers adhere to appropriate privacy and security standards, but we do not control their systems or guarantees.

• Depending on the use case, data sent to third-party providers may be anonymized or pseudonymized. However, complete anonymization is not always possible due to the nature of the services.

• There is no option to opt out of AI-based processing. By using the Service, you consent to such processing as an essential part of the Service's functionality.

• Outputs generated using third-party AI platforms are machine-generated and are provided "as is" without any warranty or guarantee of accuracy, legality, or fitness for purpose.

• You should not rely on AI-generated outputs as professional, legal, financial, or other regulated advice. You are solely responsible for validating the accuracy and appropriateness of any outputs before acting on them.

• These third-party services are subject to their own terms and privacy policies, which we encourage you to review.

• We are not liable for any limitations, outages, or issues resulting from third-party providers.

11.1 Enterprise Model Restrictions

Enterprise customers may request that SoftwareValue.ai restrict the use of certain third-party AI providers (e.g., OpenAI, Anthropic, Fireworks.ai) subject to written agreement. By default, all listed AI providers may be utilized to deliver the Service. The quality or richness of results and outputs cannot be guaranteed in these instances, although SoftwareValue.ai will make reasonable prompt engineering efforts to ensure the quality of the outputs.

We may suspend or terminate your access to the Service at any time for violation of these Terms. Upon termination, your right to use the Service will cease immediately.

The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, SoftwareValue.ai shall not be liable for:

​

• Indirect, incidental, or consequential damages;

• Loss of profits, data, or use;

• Aggregate damages exceeding the amount paid by you in the past 12 months.

You agree to indemnify, defend, and hold harmless SoftwareValue.ai, its officers, and affiliates from any claims, damages, or expenses arising out of your use of the Service or breach of these Terms.

We may modify these Terms at any time. If we make material changes, we’ll notify you via email or through the Service. Continued use of the Service after changes means you accept the updated Terms.

These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. 

Entire Agreement: These Terms constitute the entire agreement between you and SoftwareValue.ai.

Severability: If any part is found unenforceable, the rest remains in effect.

Waiver: Failure to enforce any provision is not a waiver of rights.

​The Service Level Agreement (“SLA”) and the Data Processing Addendum (“DPA”) form part of these Terms and are hereby incorporated by reference.

By using the Services, you agree to be bound by the terms of the SLA and DPA, as applicable. These documents are available at the following URLs:

If you enter into an Enterprise or custom agreement with us, the SLA and DPA specific to that agreement may apply instead and will be referenced in your signed contract.
